Records Retention Policies

These policies cover all records regardless of physical form or characteristics which have been made or received by Pierce-Arrow Foundation while doing business.

I. Purpose of Policies

These policies provide for the systematic review, retention, and destruction of records received or created by Pierce-Arrow Foundation in connection with the transaction of business. These policies cover all records, regardless of physical form, and contain guidelines for how long certain records should be kept and how records should be destroyed.

These policies are designed to ensure compliance with federal and state laws and regulations, to eliminate accidental or innocent destruction of records, and to facilitate Pierce-Arrow Foundation’s operations by promoting efficiency and freeing up valuable storage space. Included in the federal laws necessitating compliance with these policies is the Sarbanes-Oxley Act (“The American Competitiveness and Corporate Accountability Act of 2002”), which makes it a crime to alter, cover up, falsify, or destroy any document with the intent of impeding or obstructing any official proceeding.

II. Records Covered

These policies apply to all records in any form, including electronic documents. A record is any material that contains information about Pierce-Arrow Foundation’s plans, results, policies, or performance. Anything that can be represented with words or numbers is a business record for purposes of these policies. Electronic documents must be retained as if they were paper documents. Therefore, any electronic files, including information received online, that fall into one of the document types on the schedule must be maintained for the appropriate amount of time.

III. Record Retention

Pierce-Arrow Foundation follows the document retention procedures outlined below. Documents that are not listed but are substantially like those listed in the schedule will be retained for the appropriate length of time.

These records are necessary for the continuity of business and the protection of the rights and interests of the organization and of individuals. No record may be destroyed if in any way the records refer to, concern, arise out of or in any other way are involved in pending or threatened litigation. While the listings below contain commonly recognized categories of records, the list should not be considered as having identified all records that Pierce-Arrow Foundation may need to consider for permanent and non-permanent status. All other documents and financial files will be duplicated or backed up periodically in increments determined by the Treasurer.

V. Document Destruction

The Treasurer of the Pierce-Arrow Foundation Board of Trustees is responsible for the ongoing process of identifying its records which have met the required retention period and overseeing their destruction. Destruction of financial and personnel-related documents will be accomplished by shredding. Document destruction will be suspended immediately upon any indication of an official investigation or when a lawsuit is filed or appears imminent. Destruction will be reinstated upon conclusion of the investigation or claim, whichever is latest.

VI. Compliance

Failure on the part of employees to follow this policy can result in possible civil and criminal sanctions against Pierce-Arrow Foundation and its employees and possible disciplinary action against responsible individuals. The Curator and the Chairman will periodically review these procedures with legal counsel or the organization’s certified public accountant to ensure that they follow new or revised regulations.

Questions concerning these policies, and the applicability of certain records to the retention or destruction policies, must be addressed to the Treasurer of the Board of Trustees.

If PAF believes, in its sole discretion, that a violation of these Terms and Conditions of Use has occurred, it may edit or modify any submission, posting or email, or remove the material permanently, cancel postings, warn users, suspend users and passwords, terminate accounts or take any other corrective action it deems appropriate. PAF will fully cooperate with any law enforcement authorities or court order requesting or directing PAF to disclose the identity of anyone. By using the Website and by accepting these Terms and Conditions of Use, you waive and hold harmless PAF from any claims resulting from any action taken by PAF during or because of its investigations or from any actions taken because of investigations by either PAF or law enforcement authorities.

Modification; Waiver of Terms. The Website and the products, services and programs described on the Website may be changed, eliminated or updated without prior notice. We also may make changes to these Terms and Conditions of Use and any Website-related policies, rules or guidelines at any time in our sole and absolute discretion. Revised terms will be effective when posted to the Website unless otherwise provided by us in the revision. Your continued use of the Website after new Terms and Conditions of Use or any revised policies, rules or guidelines are posted constitutes your agreement to abide by the revised terms. Please review these Terms and Conditions of Use periodically and check the version date for changes. No waiver of any breach of the Terms and Conditions of Use or the Privacy Policy shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provisions of either the Terms and Conditions of Use or the Privacy Policy, and no waiver of any provision shall be effective unless made in writing and signed by an authorized representative of PAF. PAF reserves the right to modify or discontinue the Website or a portion or attribute thereof, or the offering of any information, good, Content, product or service with or without notice. PAF shall not be liable to you or any third party should PAF exercise its right to modify or discontinue the Website or part of it.

Michigan Law. This Website is created and maintained in the State of Michigan, USA. As such, the laws of the State of Michigan govern these Terms and Conditions of Use without giving effect to any principles of conflicts of laws that would allow for the law of any other jurisdiction to be applied. In the event of any dispute relating to the Website, you consent to the personal jurisdiction of courts (state and federal) sitting in the State of Michigan, acknowledge that venue is only proper in the courts in Barry County, Michigan and waive any objection you may have in the future with respect to any of the foregoing. Any claim or action arising from or relating to use of the Website must be filed within one (1) year after the claim or cause of action arises. Any claim or action not filed within such time will be forever barred. Use of the Website is not authorized in any jurisdiction that does not give full effect to all provisions of these Terms and Conditions of Use or the Privacy Policy, including, but not limited to, disclaimers and limitations of liability. In the event any provision of these Terms and Conditions of Use or the Privacy Policy is determined to be invalid or unenforceable in any jurisdiction, the remaining terms shall continue in full force and effect in that jurisdiction, and a determination of invalidity or unenforceability in one jurisdiction shall not affect the Terms and Conditions of Use or the Privacy Policy in any other jurisdiction. If any provision of these Terms and Conditions of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms and Conditions of Use remain in full force and effect.

Dispute Resolution, Including Arbitration and Class Action Waiver. You and we agree that in the event of any dispute between us, you and we will first try to resolve the dispute by talking with each other. Accordingly, neither you nor we may start a formal proceeding for at least sixty (60) days after one of us notifies the other in writing of a dispute. You will send your notice to us at PAF, 6865 W. Hickory Road, Hickory Corners, MI 49060. We will notify you through the contact information you have provided to us. The notice must be sent by U.S. mail, Federal Express or UPS, with confirmation of delivery requested. However, we may provide notice by electronic means if you have not provided us with a postal address.

IF YOU AND WE ARE UNABLE TO RESOLVE OUR DISPUTE BY TALKING TO EACH OTHER, YOU AND WE EACH AGREE THAT WE WILL SUBMIT THE DISPUTE TO BINDING ARBITRATION. To the fullest extent permitted by law, any controversy or claim arising out of or relating to our relationship, these Terms & Conditions (including any dispute as to their breach, termination, enforcement, interpretation or validity), our Privacy Policy (including any dispute as to its breach, termination, enforcement, interpretation or validity), our Site and Content will be resolved exclusively by binding arbitration, in a venue and manner to be agreed upon by you and us. Arbitration is not a court proceeding. The rules of arbitration differ from the rules of court and there is no judge or jury in an arbitration proceeding. YOU ARE HEREBY WAIVING YOUR RIGHT TO HAVE A JURY TRIAL OR TO GO TO COURT. You may, in arbitration, seek all remedies otherwise available to you where you reside, other than as waived in these Terms and Conditions. You have the right to hire an attorney to represent you in arbitration. Arbitration shall permit the discovery of relevant information that is not privileged or protected.

The arbitrator’s decision shall be final and binding and may be enforced by any state or federal court that has jurisdiction; provided, however, that the arbitrator shall not have authority to make errors of law and any arbitration award may be challenged if the arbitrator does so. The arbitrator shall give a written statement of the disposition of each claim, and the award shall provide a concise written statement of the essential findings and conclusions upon which it is based. You and we agree that the Federal Arbitration Act shall govern this agreement to arbitrate.

Notwithstanding the above, in lieu of initiating arbitration, you may instead choose in your sole discretion to file an individual action in a small claims court. If you do so, we do not agree to pay any of your fees or costs. The class action waiver below remains effective, even if you elect to file in a small claims court.

You and PAF agree not to join or consolidate claims in arbitration or in legal action by or against the other. You and PAF also agree that you and we will not be entitled to bring any claim as a representative member of a class or in a private attorney general capacity against the other, or against our service partners, officers, directors, agents, employees, affiliates or predecessors. YOU HEREBY WAIVE ANY RIGHT TO BRING A CLASS ACTION OR PRIVATE ATTORNEY GENERAL CLAIM. You and we retain our respective rights to make any complaint to regulatory agencies or governmental investigators. A court may sever any portion of this section that it may find to be unenforceable, except for the prohibition on class, representative or private attorney general proceedings. You understand and agree that the waivers of rights in this section, including the waivers of the rights to bring a lawsuit in court and to assert a class action, are knowing and voluntary.

Digital Millennium Copyright Act (DMCA). PAF is committed to complying with U.S. copyright and related laws and requires all users of the Website to comply. If an owner of a copyrighted work believes that its rights have been infringed, the owner may take advantage of certain provisions of the Digital Millennium Copyright Act of 1998 (DMCA) to report alleged infringements. Entire Agreement. These Terms and Conditions of Use and the Privacy Policy constitute the entire agreement between us and you with respect to the Site. Whistleblower Policy

The Pierce-Arrow Foundation requires trustees, officers, employees, and volunteers to observe high standards of business and personal ethics in the conduct of their duties and responsibilities. As representatives of the Pierce-Arrow Foundation, we must practice honesty and integrity in fulfilling our responsibilities and comply with all applicable laws and regulations.

Reporting Responsibility

This Whistleblower Policy is intended to encourage and enable employees and others to raise serious concerns internally so that the Pierce-Arrow Foundation can address and correct inappropriate conduct and actions. It is the responsibility of all Board members, officers, employees, and volunteers to report concerns about violations of the Pierce-Arrow Foundation’s code of ethics or suspected violations of law or regulations that govern the Pierce-Arrow Foundation’s operations.

No Retaliation

It is contrary to the values of the Pierce-Arrow Foundation for anyone to retaliate against any board member, officer, employee, or volunteer who, in good faith, reports an ethics violation or a suspected violation of law, such as a complaint of discrimination, suspected fraud, or a suspected violation of any regulation governing the operations of the Pierce-Arrow Foundation. An employee who retaliates against someone who has reported a violation in good faith is subject to discipline up to and including termination of employment.

Reporting Procedure

The Pierce-Arrow Foundation has an open-door policy and suggests that employees share their questions, concerns, suggestions, or complaints with their supervisor. If you are not comfortable speaking with your supervisor or you are not satisfied with your supervisor’s response, you are encouraged to speak with the Board Secretary, who is also the Compliance Officer. The Board Secretary, serving as the Compliance Officer, is responsible for ensuring that all complaints about unethical or illegal conduct are investigated and resolved. The Compliance Officer will advise the Board of Trustees of all complaints and their resolution, and will report annually to the Board on compliance activity relating to accounting or alleged financial improprieties.
